These Terms & Conditions ("Terms") govern your access to and use of PostNova, the social management platform provided by PostNova, Inc. ("PostNova", "we", "us"). By creating an account or otherwise using PostNova, you agree to be bound by these Terms.
1. Your account
You must be at least 18 years old to use PostNova. You are responsible for everything that happens under your account, including the actions of any teammates you invite. Keep your credentials safe and notify us immediately if you suspect unauthorized access.
2. Plans, trials, and billing
PostNova offers subscription plans (Starter and Pro) billed monthly. Both plans include a 7-day free trial. You can cancel anytime from your account settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.
3. Connected accounts
To use PostNova, you'll connect third-party social platforms (such as Instagram, TikTok, YouTube, X, LinkedIn). You authorize PostNova to act on your behalf to the extent of the permissions you grant via OAuth. You remain solely responsible for compliance with each platform's terms of service.
4. Your content
You retain all rights to the content you create, upload, schedule, or generate through PostNova ("Your Content"). You grant us a limited license to host, process, and transmit Your Content for the sole purpose of providing the service. We will never sell Your Content or use it to train our models.
5. AI-generated outputs
Outputs from AI features (captions, images, video) may resemble outputs generated for other users from similar prompts. You are responsible for reviewing AI-generated content before publishing and ensuring it complies with applicable law and platform policies. Where the underlying model providers impose use restrictions, those restrictions also apply to you.
6. Acceptable use
You agree not to use PostNova to: post unlawful, harassing, deceptive, or infringing content; impersonate any person or entity; spam or engage in inauthentic behavior; reverse-engineer the service; bypass rate limits; or violate any third-party platform's terms. We may suspend or terminate accounts that breach this section.
7. Intellectual property
PostNova, its logo, the design system, and all software are the property of PostNova, Inc. and protected by intellectual property laws. We grant you a non-exclusive, non-transferable license to use the service in accordance with these Terms.
8. Service availability
We work hard to keep PostNova running, but we do not guarantee uninterrupted access. We may perform maintenance, update features, or deprecate functionality with reasonable notice. We are not liable for downtime caused by third-party platforms or model providers.
9. Disclaimers
PostNova is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You use AI features at your own risk.
10. Limitation of liability
To the extent permitted by law, PostNova's aggregate liability for any claim arising out of or relating to the service will not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, or consequential damages.
11. Termination
You can stop using PostNova at any time by closing your account. We may suspend or terminate your access if you materially breach these Terms or if required by law. Upon termination, your right to use the service ends; certain sections (such as IP, liability, and indemnity) survive.
12. Changes to these Terms
We may update these Terms occasionally. For material changes, we'll notify you by email or in-app banner. Continued use after the effective date constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in New York County, New York.
